ORDER TERMS

Our quotes (or pro forma invoices) generated by us and mailed or emailed to you are valid for a period of two (2) weeks from the date issued, unless otherwise expressly specified. Quotes become valid after acceptance upon receipt of the signed Order Confirmation Agreement form, together with a fifty percent (50%) deposit. The outstanding balance must be paid in full prior to shipment of products.

PRICING
Goods are sold at the rate applicable on the day the buyer places an order. Product prices listed on our invoice may not include any applicable taxes or shipping charges.

LATE PAYMENT
In the case of a late payment, interest can be assessed at three times the legal interest rate and shall automatically accrue from the settlement date indicated on the invoice.

In the event of late payment, we reserve the right to suspend or cancel outstanding orders without prejudice to any other remedy, and to demand payment of all our receivables due or to become due, without prior formal notice.

RESALE OF PRODUCTS
Where Products are purchased for the purpose of resale or distribution, and authorization has been granted by Bonnecaze, the purchaser must execute a formal resale or distribution agreement with Bonnecaze in advance. This agreement shall define all applicable terms and conditions governing the resale or distribution of the Products.

Unless expressly stated otherwise within that agreement, all resale or distribution authorizations are granted on a non-exclusive basis. Bonnecaze expressly reserves the right to market and sell its Products directly to any customer, including companies, individuals, resellers, or distributors.

INTELLECTUAL PROPERTY
The client may select from a range of shapes, patterns, and color combinations to be incorporated into products manufactured and marketed by Bonnecaze (the “Product”). These selections are drawn from a standard collection offered to all clients and do not grant exclusivity to any individual client, unless expressly agreed to in writing in advance.

Bonnecaze retains full ownership of all intellectual property rights associated with its Products. This includes, without limitation, copyrights and industrial property rights relating to the Product’s design, shape, colors, pattern combinations, or weaving details, as well as the Product in its entirety.

Bonnecaze is the exclusive owner of the trademark “Bonnecaze” under which its Products are marketed (the “Brand”). Each Product is affixed with a brass plate bearing the Brand name. The client shall not engage in any act that may infringe upon or impair the Brand. In particular, the client is strictly prohibited from removing, altering, or replacing the original brass plate, or from affixing any alternative plate or branding in substitution for the official Bonnecaze identification.

TITLE TO GOODS
Bonnecaze shall retain full ownership of all delivered goods until payment in full has been received, notwithstanding any partial payments or deposits made toward the purchase price. Title to the products shall be transferred to the client only upon complete and final payment.

In the event of outstanding balances, the client is expressly prohibited, for a period of one (1) month, from reselling, modifying, or otherwise using the products. During this period, and until full payment is made, the client shall maintain appropriate insurance coverage for the goods, acknowledging that ownership has not yet been transferred.

DELIVERY
The production times and delivery lead times are estimates and may change. They do not constitute any commitment on our part. Any time frame provided is only a good-faith estimate. Whatever the mode of transport, the goods always travel at the buyer's risk and peril. For on-site delivery, the space must be safe and easily accessible to cargo trucks. Delivery costs are entirely at the purchaser’s expense unless otherwise specified.

CLAIMS
All claims must be made within ten (10) days of receipt of the goods. We are not responsible for merchandise that cracks or peels after delivery due to overheating, excessive A/C, leaving items outdoors during rain or snow, or items kept on a wet floor for storage.

ORDER CHANGES AND CANCELLATIONS
All custom orders are considered final sale and are non-refundable, including in the event of a requested change or cancellation.

Any modification to an order will only be considered if written notice is received prior to commencement of production. All changes or cancellations are subject to written confirmation and approval by Bonnecaze.

After the product has been delivered to and received by Bonnecaze, if the customer cannot be reached at the telephone number or email address provided within fifteen (15) days, or refuses to accept delivery, the previously paid deposit shall be retained and forfeited as non-refundable.
